THe fungus is edible. I can't remember the name offhand, but it is in one of my edible mushroom books (if someone doesn't beat me to the punch, I'll look it up when I get home tonight).
Mushroom could be Wood Ear. There a few less edible lookalikes though so it'd pay to check. What's the tree they are growing on? Often that's part of the key to IDing.
